Reseller Terms

This English translation is provided for convenience only. The German version of this document is legally binding.

Version: 22 September 2026

1. Scope of Application

(1) These Reseller Terms supplement the General Terms and Conditions of SALEPIX GmbH (hereinafter the "Provider") for customers whom the Provider has approved as resellers (hereinafter "Resellers"). Resellers manage online shops of third parties (hereinafter "End Customers") and administer their access to OnFinds.

(2) In the event of any conflict between these Reseller Terms and the General Terms and Conditions, these Reseller Terms shall prevail. In all other respects, the General Terms and Conditions apply.

(3) Resellers are approved by the Provider. There is no entitlement to approval. Creating accounts, changing plans and withdrawing cancellations require that the Reseller has accepted the current version of these Reseller Terms in the customer portal.

2. Contractual Relationship

(1) For all customer accounts that the Reseller creates or that are assigned to the Reseller with the End Customer's consent (hereinafter "Managed Accounts"), the Reseller alone is the Provider's contractual partner. No contract for the use of OnFinds is concluded between the Provider and the End Customers.

(2) The Reseller concludes its own contracts with its End Customers in its own name and for its own account. The Reseller determines its prices and conditions towards its End Customers itself.

(3) Each Managed Account receives its own access for the End Customer. Through it, the End Customer can use OnFinds, submit support requests and manage access for its employees. Invoices, prices and payment data as well as cancellation, plan changes and pausing are not accessible to the End Customer. The Reseller can access the Managed Accounts via the customer portal, including the End Customers' support requests and user accounts.

(4) By way of derogation from Section 7 of the General Terms and Conditions, the Reseller may allow its End Customers to use OnFinds via the Managed Accounts. Any further sublicensing is excluded.

3. Creation and Assignment of End Customers

(1) The Reseller only creates accounts for End Customers that it actually manages and that have consented to the use of OnFinds.

(2) A separate account with a separate, valid email address of the End Customer must be created for each online shop. Using email addresses without the owner's authorisation is prohibited.

(3) Existing direct customers of the Provider are only assigned to a Reseller with the End Customer's consent. The assignment is carried out by the Provider.

4. Prices and Reseller Discount

(1) Managed Accounts are charged the list price of the selected plan applicable when the account is created or the plan is changed, less the reseller discount agreed with the Reseller. For assigned existing customers, the previously agreed price including existing discounts applies; the reseller discount is granted in addition. The reseller discount applies only to Managed Accounts, not to the Reseller's own contracts.

(2) No commissions from the partner programme and no referral rewards are paid for Managed Accounts or for the Reseller's own contracts. The Reseller does not receive referral rewards for referred customers either.

(3) The Provider will notify the Reseller in text form of any change to the reseller discount at least six weeks before it takes effect. Changes apply to billing periods beginning after they take effect.

5. Billing

(1) The Provider bills all Managed Accounts exclusively to the Reseller. The Reseller's details are decisive for the billing address, value-added tax and payment method.

(2) As agreed with the Reseller, billing takes place either

  • as individual invoices: one invoice per Managed Account in advance at the start of each billing period, monthly or annually depending on the plan; or
  • as a collective invoice: one joint invoice for all Managed Accounts in advance on a fixed monthly billing day. Only plans with monthly billing are possible with collective billing. Periods that do not begin or end on the billing day – in particular after an account is created, after a suspension is lifted or when switching to collective billing – are prorated to the day and charged with the next collective invoice. The Reseller's own contracts paid by invoice are included in the collective invoice; Section 6 applies accordingly.

(3) Invoices are payable without deduction within 10 days of the invoice date by bank transfer or via the payment link provided.

(4) The billing method can only be changed when no invoice of the Reseller is open.

6. Default of Payment and Suspension

(1) If an invoice is not paid on time, the Provider sends the Reseller a payment reminder. If the invoice remains unpaid thereafter, the Provider is entitled, no earlier than 30 days after the invoice date, to suspend all Managed Accounts listed on that invoice. In the case of a collective invoice, this may affect all Managed Accounts.

(2) Once payment has been received in full, the Provider lifts the suspension of the affected accounts. No fee is charged for the duration of the suspension for billing periods following the period covered by the unpaid invoice. The unpaid invoice remains payable in full; the period it covers is not extended by the suspension.

(3) As long as an invoice is subject to a payment reminder or a Managed Account is suspended due to default of payment, the Reseller cannot create further accounts or withdraw cancellations.

(4) Non-payment of an invoice does not constitute a cancellation. Payment claims arising from invoices already issued remain unaffected by a suspension.

(5) The Reseller informs its End Customers of a suspension itself. The Provider merely advises suspended End Customers to contact their Reseller.

7. Plan Changes and Cancellation of Managed Accounts

(1) The Reseller declares plan changes for Managed Accounts in the customer portal. The new plan applies from the next billing period.

(2) By way of derogation from Section 9 (2) of the General Terms and Conditions, the Reseller may cancel Managed Accounts in the customer portal without notice to the end of the current billing period. Cancellation is only possible once no invoice is open for the account concerned. The Reseller may withdraw the cancellation until the end of the billing period; Section 6 (3) remains unaffected.

(3) End Customers cannot cancel Managed Accounts vis-à-vis the Provider themselves. They address cancellations to the Reseller.

(4) Pausing pursuant to Section 9a of the General Terms and Conditions is not possible for Managed Accounts.

8. End of the Reseller Relationship

(1) The Provider may revoke the reseller approval with three months' notice to the end of a month. The right to extraordinary termination for good cause remains unaffected.

(2) If the reseller agreement ends, the Provider terminates the contracts for the Managed Accounts at the end of the respective billing period, unless the End Customer has previously concluded its own contract with the Provider. In that case, the account is transferred with its settings and data into a direct contractual relationship. The transfer requires the End Customer's acceptance of the General Terms and Conditions.

(3) Payment claims against the Reseller that arose before termination or transfer remain in force.

9. Obligations and Liability of the Reseller

(1) The Reseller ensures that its End Customers comply with the Customer obligations set out in the General Terms and Conditions, in particular regarding the permissible use of OnFinds.

(2) The Reseller indemnifies the Provider against third-party claims, in particular from its End Customers, that are based on the contractual relationship between the Reseller and the End Customer or on a breach of duty by the Reseller. The indemnity also covers reasonable costs of legal defence.

(3) The Provider's liability towards the Reseller is governed by Section 10 of the General Terms and Conditions. The Provider is not contractually liable towards End Customers.

10. Data Protection

(1) Insofar as the Provider processes personal data in connection with the Managed Accounts, the Reseller acts towards the Provider as controller or, if it in turn acts on behalf of the End Customer, as processor. In the latter case, the Provider is a further processor (sub-processor).

(2) The parties conclude a data processing agreement pursuant to Art. 28 GDPR for this purpose. The Reseller ensures that the necessary agreements are in place with its End Customers and informs them of the Provider's engagement as sub-processor.

(3) The Provider uses the End Customers' contact details (company, contact person, email address) to provide access, for support and for service-related notifications.

11. Amendments to these Reseller Terms

The Provider will notify the Reseller of amendments to these Reseller Terms in text form at least six weeks before they take effect. Creating accounts, changing plans and withdrawing cancellations require acceptance of the current version in the customer portal. If the Reseller does not accept an amended version, the existing Managed Accounts continue under the previous terms; either party may then end the reseller agreement in accordance with Section 8.
